Risk Disclosure and Disclaimer Policy

Where Documents relating to Crypto-collateralised Loans or Asset-backed Loans are made available to an individual (i.e. and not a corporate): That person must fall within the definition of Investment Professionals (as defined in the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (the “Order”)). Individuals who do not have professional experience in matters relating to investments should not rely on it; and The Documents are exempt from the general restriction in section 21 of the Financial Services and Markets Act 2000 (the “Act”) on the communication of invitations or inducements to engage in investment activity on the ground that it is made only to persons to whom the document can legally be communicated under exemptions contained in the Order. The Documents have not been approved by an authorised person which, unless this exemption applies, would be required under section 21 of the Act. 2. High‑Risk Cryptoasset‑Backed Loan Warning

 

Do not enter into a crypto‑asset‑backed loan unless you are prepared to lose all of the cryptoassets you pledge as collateral. This is a high‑risk transaction, and you should not expect to be protected if something goes wrong. For the avoidance of doubt, the statutory warning appears because this promotion relates to cryptoassets used as collateral; the FCA classifies the cryptoassets themselves—not the lending agreement—as high‑risk investments for the purposes of the UK financial‑promotion rules.

 

3.Risk Summary

 

•Charges or fees may apply and reduce your net return.
•You could lose some or all of the cryptoassets pledged as collateral if their value falls and the lender liquidates them to cover the loan balance.
•Those lenders, whether regulated or not, will explain all terms, risks and regulatory protections (if any) directly to you.
•Any facilities denominated in, or secured on, digital assets may fall outside UK regulatory protection; you may have no recourse to the Financial Ombudsman Service or the Financial Services Compensation Scheme.
•Tax may be due and could change.
•Cryptoassets – and the collateral supporting the loan – are high‑volatility and can be hard to sell quickly.
•Complex lending structures can be difficult to understand.

 

4.Greengage Role and Regulatory Status

 

Greengage & Co. Limited is neither authorised nor registered by the Financial Conduct Authority and is not registered under the Money Laundering Regulations 2017. All contractual rights and obligations arise exclusively between the service provider and the client. Nothing in this document constitutes investment, tax, legal or credit advice. a)Crypto lending institutions where the loan principal or repayment flows are settled in cryptoassets (e.g., BTC, ETH, USDT, USDC) or where digital assets form the underlying collateral for fiat-denominated loans. These introductions are strictly non-promotional and occur only at the client’s request. Greengage does not participate in the execution, settlement, or custody of such transactions. All counterparties operate under their own licensing and regulatory frameworks, and Greengage makes no representations regarding the regulatory classification, risk level, or enforceability of any such arrangements.

b)Institutional liquidity providers offering access to fiat or crypto liquidity rails. Greengage does not hold client funds or settle transactions on behalf of clients. All counterparties are introduced on a non-reliance basis and operate under their own licensing and risk frameworks.

c)Token-based or blockchain-enabled lending institutions, including DeFi-style solutions. These introductions are strictly non-promotional and are provided only at the client’s request. Greengage does not endorse, advise on, or intermediate any digital asset-related transaction.

d)Institutions offering access to asset-backed investment products, such as fractionalised mortgage loan tranches or structured fixed-income notes secured on real estate lending portfolios. These introductions are available only to qualifying individuals or professionals in accordance with the exemptions under the Financial Promotion Order 2005 (Articles 48, 49, or 50A). All introductions are made on a non-reliance, non-advisory, and non-promotional basis. Greengage does not assess, endorse, or intermediate these opportunities, and makes no representation as to their performance, structure, or regulatory status. Capital is at risk. Whether you are seeking traditional borrowing solutions such as short‑term working capital, or looking to provide capital to institutional lending platforms, or participate in structured loan investments, we may – at your request – introduce you to a variety of institutions with relevant offerings. Greengage does not advise on, issue, arrange, or intermediate any investment — including digital assets, tokenized products, or structured lending opportunities. All such introductions are provided strictly on a non-reliance, non-advisory, and non-promotional basis. Where appropriate, introductions to institutions offering tokenized or digital-asset-based products may be made. Such introductions do not constitute a financial promotion. Where DeFi-style lending protocols or blockchain-based lending solutions are introduced, these introductions are strictly non-promotional and do not imply any representation of regulatory status, risk level, or product suitability. 7.Cryptoasset‑backed Business Lending

 

For borrowers wishing to obtain liquidity secured on digital‑asset collateral, Greengage can introduce you—again with your explicit consent—to specialist crypto‑lending institutions. Crypto-collateralised Loan (loans against crypto coins) are typically collateralised with crypto currencies such as Bitcoin and Ethereum principally.


Such facilities are currently unregulated in the United Kingdom. You may transfer legal and beneficial ownership of the cryptoassets to the lender, may rank only as an unsecured creditor if the lender becomes insolvent, and have no recourse to the Financial Ombudsman Service or the Financial Services Compensation Scheme.

 

Collateral liquidation can occur if the value of the pledged assets falls below agreed thresholds. You must be prepared to lose the entire cryptoasset collateral.

 

Additional Risk Considerations Relating to Cryptoasset-backed Lending

 

•Loss of ownership of cryptoassets: to enter a crypto‑backed loan you transfer legal and beneficial title to the service provider; if it becomes insolvent you rank as an unsecured creditor.

•Liquidity management: firms may reinvest or onward‑lend collateral, leaving insufficient liquid assets to meet liabilities during market stress.

•Counterparty risk: lending counterparties are often overseas or decentralised and may operate without effective risk‑management frameworks, increasing credit and liquidity risk.

•Consumer understanding: products are complex and returns attractive; borrowers may not grasp how crypto loans differ from staking or fiat credit, especially when transactions appear in fiat.

•Conflicts of interest involving platform tokens: some platforms issue their own tokens, which can be used to drive artificial demand and manipulate price to the detriment of clients.
